7. Fees, Payments, and Taxes
7.1. Fees
You agree to pay all applicable fees associated with your use of the Services as described on our Fee Schedule page, which is incorporated by reference into these Terms. The Fee Schedule outlines fees for trading, withdrawals, deposits (if any), and other Services.
We reserve the right to change, modify, or increase our fees at any time, in our sole discretion. Any changes to the Fee Schedule will be effective upon posting on the Platform or as otherwise notified to you. Your continued use of the Services after such changes constitutes your acceptance of the new fees. It is your responsibility to review the Fee Schedule periodically.
You authorize us to deduct all applicable fees, commissions, charges, and other amounts owed by you to us directly from your Account balance, whether in Fiat Currency or Digital Assets. If your Account balance is insufficient to cover such fees, we may suspend your access to the Services or take other actions to recover the amounts owed.
7.2. Payments and Transactions
All transactions on the Platform are subject to confirmation and verification by us and/or the relevant Blockchain network. We are not responsible for delays or failures in transaction processing caused by network congestion, technical issues, or other factors beyond our reasonable control.
You are solely responsible for ensuring the accuracy of any transaction instructions you provide, including recipient addresses for Digital Asset withdrawals. Transactions in Digital Assets are generally irreversible. We are not liable for any Losses resulting from incorrect or unauthorized transaction instructions provided by you.
We may impose limits on the amount or number of transactions you can conduct on the Platform, as detailed in your Account settings or on the Platform. These limits may be adjusted based on your verification status, trading history, security considerations, or other factors.
We reserve the right to refuse to process or to cancel or reverse any transaction, in our sole discretion, even after funds have been debited from your Account, if we suspect the transaction involves (or has a high risk of involvement in) Prohibited Activities, fraud, error, or a violation of these Terms or Applicable Law. In such cases, we may also suspend or terminate your Account.
7.3. Taxes
You are solely responsible for determining whether, and to what extent, any Taxes apply to any transactions you conduct through the Services, and for withholding, collecting, reporting, and remitting the correct amounts of Taxes to the appropriate tax authorities. Your transaction history is available through your Account.
We do not provide tax advice. We recommend that you consult with a qualified tax professional in your jurisdiction regarding your tax obligations.
We may be required by Applicable Law to collect and report certain information about your Account and trading activity to tax authorities, or to withhold Taxes from your transactions. You agree to provide us with any information we reasonably request to comply with such obligations.
8. Risk Disclosure
By accessing or using the Services, you acknowledge and agree that you understand and accept the risks associated with Digital Assets and the Platform. This Risk Disclosure statement provides a non-exhaustive overview of some of these risks. You should read this section carefully.
8.1. General Risks
- Market Risk & Volatility: The price of Digital Assets can be extremely volatile and subject to rapid and unpredictable fluctuations due to market dynamics, supply and demand, investor sentiment, regulatory changes, technical developments, and other factors. You could lose a significant portion or all of your investment.
- Liquidity Risk: Some Digital Assets may have limited liquidity, making it difficult or impossible to buy or sell them at desired prices or in a timely manner. Market conditions can change rapidly, affecting liquidity.
- No Investment Advice: Crestum AG does not provide investment, financial, legal, tax, or other professional advice. Any information provided on the Platform is for informational purposes only and should not be considered a recommendation or endorsement. You are solely responsible for your investment decisions.
- Past Performance: Past performance of any Digital Asset is not indicative of future results.
- Suitability: You are responsible for determining the suitability of your Digital Asset transactions in light of your own financial circumstances and risk tolerance.
8.2. Specific Risks Related to Digital Assets and Services
- Technology Risk: Digital Assets and the underlying Blockchain technology are relatively new and evolving. They are subject to risks such as software bugs, hardware failures, network failures, malicious attacks (e.g., 51% attacks), and other technical issues that could result in the loss or theft of your Digital Assets or interfere with your ability to conduct transactions.
- Cybersecurity Risk: Digital Assets and Accounts are vulnerable to cybersecurity threats, including hacking, phishing, malware, and other attacks. Despite our security measures, there is a risk of unauthorized access to your Account and loss of Digital Assets.
- Regulatory Risk & Legal Uncertainty: The legal and regulatory landscape for Digital Assets is evolving and varies significantly across jurisdictions. Changes in laws, regulations, or government policies could adversely affect the use, transfer, exchange, and value of Digital Assets, or the availability of our Services. Your Account or assets could be frozen or seized due to regulatory actions.
- Counterparty Risk: When you use our Services, you are exposed to the counterparty risk of Crestum AG and any third-party service providers we use (e.g., custodians, payment processors). If we or our providers become insolvent or cease operations, you may lose access to your assets or suffer financial losses.
- Custody Risk: If you hold Digital Assets in a wallet provided by us (custodial wallet), you are relying on our security measures and operational integrity. While we take significant precautions, there are risks associated with third-party custody.
- Transaction Risks: Digital Asset transactions are generally irreversible. Accidental or unauthorized transactions may not be recoverable. Delays in transaction processing can occur due to network congestion or other factors.
- Fork Risk & Airdrops: Blockchain networks can undergo Forks, which may result in the creation of new Digital Assets. We are not obligated to support any Fork or any resulting new Digital Assets (including airdrops). Our decision to support or not support a Forked asset is at our sole discretion. Forks can also introduce instability or unexpected outcomes.
- Delisting Risk: We may, at our discretion, delist or cease trading support for any Digital Asset on the Platform, which could affect your ability to trade or withdraw that asset.
- Derivatives Trading Risk: Trading futures, options, and other derivatives involves a high degree of risk and is not suitable for all users. These products are often leveraged, meaning a small price movement can result in a proportionally larger gain or loss, potentially exceeding your initial margin. You could lose more than your initial investment.
- Arbitrage Risk: Arbitrage opportunities can be fleeting and difficult to execute successfully due to price slippage, transaction fees, and execution delays. Tools provided are for informational purposes and do not guarantee profit.
- Staking & Earning Program Risks: These programs involve risks such as smart contract vulnerabilities, validator penalties (slashing), lock-up periods, and fluctuations in reward rates. The value of staked assets and earned rewards can decline.
- API Risk: Use of our API involves risks related to security of your API keys, programming errors in your trading algorithms, and system compatibility issues.
- Fiat Currency Risk: If you deposit Fiat Currency, you are subject to risks associated with the banking system and payment processors, including delays, fees, and potential institutional failures.
Acknowledgement of Risks: By creating an Account and using the Services, you acknowledge that you have read, understood, and accept all the risks disclosed herein and any other risks associated with Digital Assets and the Platform. You agree that Crestum AG will not be liable for any Losses resulting from these risks.
You should conduct your own thorough research and seek independent professional advice before engaging in any Digital Asset activity.

We are not responsible or liable for any User Content, including its accuracy, completeness, or legality. We reserve the right, but are not obligated, to review, monitor, or remove User Content, at our sole discretion and at any time and for any reason, without notice to you.
9.4. Feedback
If you provide us with any suggestions, comments, ideas, improvements, or other feedback relating to the Platform or Services ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable license to use, incorporate, and exploit such Feedback for any purpose, including to improve the Services and create other products and services, without any obligation or compensation to you. However, we do not guarantee that the Services will be available at all times, or that access will be uninterrupted or error-free. The Platform may be subject to downtime, delays, or interruptions due to various factors, including but not limited to:
- Scheduled maintenance or upgrades, for which we will endeavor to provide advance notice where practicable.
- Emergency maintenance or repairs.
- Technical failures, including hardware or software malfunctions, network issues, or telecommunications outages.
- Force Majeure Events (as defined in Section 2).
- High market volatility or trading volumes causing system overload.
- Security incidents or cyberattacks.
We are not liable for any Losses or inconvenience caused by any interruption, suspension, or termination of the Services, regardless of the cause, except as otherwise required by Applicable Law.
We reserve the right, in our sole discretion, to modify, suspend, or discontinue, temporarily or permanently, the Platform or any Service (or any part thereof) with or without notice. This includes adding or removing features, functionalities, supported Digital Assets, or imposing limits on certain features or restricting access to parts or all of the Services. We will endeavor to provide reasonable notice of material changes where feasible.
You agree that Crestum AG will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services or any part thereof, except as required by Applicable Law.
13. Communications and Notices
You consent to receive all communications, agreements, documents, notices, and disclosures (collectively, "Communications") that we provide in connection with your Account and your use of the Services electronically. We may provide these Communications to you by posting them on the Platform, through in-app notifications, or by emailing them to the primary email address associated with your Account.
It is your responsibility to keep your email address and other contact information accurate and up to date in your Account profile. If Communications are sent to your registered email address and are returned as undeliverable, we may suspend or terminate your Account. You are deemed to have received any electronic Communication when we send it or post it, regardless of whether you actually read it.
To withdraw your consent to receive Communications electronically, you must contact us via our Support Portal or by emailing [email protected] and request to close your Account as per Section 17.3. If you withdraw consent, we reserve the right to terminate your access to the Services.
Any formal legal notices or other communications required to be sent to Crestum AG under these Terms (other than routine support inquiries) should be sent in writing to Crestum AG, Attn: Legal Department, [Your Company Address], with a concurrent copy emailed to [email protected] (Attn: Legal Department). Notices will be deemed effective upon receipt by us.
14. Disclaimers of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Crestum AG, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, NEITHER Crestum AG NOR ANYONE ASSOCIATED WITH Crestum AG REPRESENTS OR WARRANTS THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) THE INFORMATION, CONTENT, OR MATERIALS ON THE PLATFORM WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE; (C) ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED; (D) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (E) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE.
YOU ACKNOWLEDGE THAT Crestum AG DOES NOT CONTROL THE TRANSFER OF DATA OVER COMMUNICATIONS FACILITIES, INCLUDING THE INTERNET, AND THAT THE SERVICE MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF SUCH COMMUNICATIONS FACILITIES. Crestum AG IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM Crestum AG OR THROUGH OR FROM THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE Crestum AG PARTIES TO YOU FOR ALL CLAIMS, DAMAGES, LOSSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR OTHERWISE) EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO Crestum AG FOR THE USE OF THE SERVICES DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN Crestum AG AND YOU. ACCESS TO THE PLATFORM AND SERVICES WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF THE Crestum AG PARTIES WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
This limitation of liability section applies to the fullest extent permitted by law and shall survive any termination or expiration of these Terms or your use of the Services.
16. Indemnification
To the fullest extent permitted by Applicable Law, you agree to indemnify, defend, and hold harmless the Crestum AG Parties from and against any and all Losses, claims, demands, actions, suits, proceedings, liabilities, damages, settlements, penalties, fines, costs, or expenses (including, without limitation, reasonable attorneys' fees and other legal expenses) arising out of or relating to:
- Your access to or use of the Platform or Services.
- Your User Content or Feedback.
- Your breach or alleged breach of these Terms, including any representations or warranties made herein.
- Your violation of any Applicable Law, regulation, or rule.
- Your violation of the rights of any third party, including any Intellectual Property right, privacy right, or right of publicity.
- Your negligence, willful misconduct, or fraudulent activity.
- Any disputes or issues between you and any other user or third party.
- Any activity related to your Account, whether by you or any other person accessing your Account with or without your consent.
Crestum AG reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Crestum AG. We will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.
This indemnification obligation will survive the termination or expiration of these Terms and your use of the Services.
17. Term, Termination, and Account Closure
17.1. Term
These Terms shall commence upon your first access to or use of the Services or your acceptance hereof (whichever is earlier) and shall remain in full force and effect while you use the Services or have an Account with us, unless terminated earlier in accordance with this Section.
17.2. Termination by Crestum AG
We may, in our sole discretion, suspend, restrict, or terminate your access to any or all of the Services, and/or deactivate or cancel your Account, with or without prior notice, for any reason or no reason, including but not limited to:
- If you breach any provision of these Terms.
- If you engage in any Prohibited Activities.
- If we are required to do so by Applicable Law, a court order, or a request from a regulatory or law enforcement authority.
- If we suspect or determine that your Account is associated with any fraudulent, illegal, or suspicious activity.
- If you provide false, misleading, inaccurate, or incomplete information.
- If your Account has been inactive for an extended period (as determined by us).
- If there are security concerns related to your Account.
- If it becomes unfeasible or commercially unviable for us to provide Services to you.
- For any other operational, reputational, or risk-related reasons.
We will endeavor to provide you with notice of termination or suspension where appropriate and permitted by law, but we are not obligated to do so.
17.3. Termination by You
You may terminate these Terms and close your Account at any time by following the account closure procedures specified on the Platform or by contacting our support team via Support Portal or emailing [email protected]. Account closure will be subject to the settlement of any outstanding transactions, fees, or obligations. You will remain responsible for all transactions and obligations incurred up to the point of effective termination.
17.4. Effect of Termination
Upon termination of these Terms or closure of your Account for any reason:
- Your right to access and use the Services will immediately cease.
- We may delete or deactivate your Account and all related information and files in your Account, subject to our data retention policies and Applicable Law.
- Any pending transactions may be cancelled. We are not liable for any Losses resulting from such cancellations.
- You must promptly pay any outstanding fees or amounts owed to us.
- We will generally allow you a reasonable period (e.g., 30 days, unless circumstances require immediate action) to withdraw any remaining undisputed Fiat Currency or Digital Assets from your Account, subject to security checks, compliance requirements, and any applicable withdrawal fees or limits. However, if termination is due to fraud, illegal activity, or violation of AML/CFT or Sanctions Laws, we may be required to freeze, withhold, or remit your assets to authorities as required by law.
Crestum AG shall not be liable to you or any third party for any termination of your access to the Services or closure of your Account in accordance with these Terms.
17.5. Survival of Clauses
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, limitations of liability, fee obligations, dispute resolution provisions, and miscellaneous provisions.
18. Governing Law and Dispute Resolution
18.1. Governing Law
These Terms, your use of the Services, any claim, counterclaim or dispute of any kind or nature whatsoever arising out of these Terms, directly or indirectly, or in any way relating to the Platform, or any aspect of your relationship with Crestum AG, shall be governed by and construed in accordance with the laws of [Your Jurisdiction] (e.g., "the State of Delaware, United States of America" or "England and Wales"), without regard to its conflict of law principles. For corporate clients, the governing law may be specified in your separate corporate agreement.
18.2. Dispute Resolution; Binding Arbitration
Informal Dispute Resolution: We want to address your concerns without needing a formal legal case. Before filing a claim against Crestum AG, you agree to try to resolve the dispute informally by contacting us first through [email protected] or our designated support channels, providing a detailed description of your claim. We will attempt to resolve the dispute informally through negotiation. Most disputes can be resolved this way. If we cannot resolve the dispute within sixty (60) days of your initial notification, then you or Crestum AG may initiate a formal arbitration proceeding as set forth below.
Arbitration Agreement: Except for disputes that qualify for small claims court (if applicable in [Your Jurisdiction]) or disputes solely relating to the infringement or misappropriation of Intellectual Property rights (which may be brought in a court of competent jurisdiction), you and Crestum AG agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes") will be resolved exclusively by BINDING ARBITRATION on an individual basis, rather than in court.
The arbitration will be administered by [Arbitration Body Name, e.g., the American Arbitration Association ("AAA")] in accordance with its [Arbitration Rules Name, e.g., Commercial Arbitration Rules or Consumer Arbitration Rules, as applicable] and any supplementary procedures for consumer-related disputes, if applicable (the "Arbitration Rules"), then in effect, except as modified by this Arbitration Agreement. The Arbitration Rules are available at [Link to Arbitration Body Website] or by calling [Arbitration Body Phone Number]. The Federal Arbitration Act (or equivalent national arbitration law in [Your Jurisdiction]) will govern the interpretation and enforcement of this Arbitration Agreement.
The arbitration shall take place in [Arbitration Location, e.g., New York, New York, USA, or specify remote/virtual options]. The arbitration will be conducted by a single arbitrator, mutually agreed upon by the parties, or, if the parties cannot agree, an arbitrator appointed in accordance with the Arbitration Rules. The language of the arbitration shall be English (unless otherwise agreed or required by applicable local law).
The arbitrator will have exclusive authority to resolve any Dispute, including, but not limited to, any claim that all or any part of these Terms (including this Arbitration Agreement) is void or voidable. The arbitrator’s decision will be final and binding on both parties, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.
Payment of all filing, administration, and arbitrator fees will be governed by the Arbitration Rules. We will reimburse those fees for claims totaling less than USD $10,000 unless the arbitrator determines the claims are frivolous. Likewise, Crestum AG will not seek attorneys' fees and costs in arbitration unless the arbitrator determines the claims are frivolous.
18.3. Class Action Waiver and Jury Trial Waiver
Unless both you and Crestum AG agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this specific Class Action Waiver is found to be unenforceable, then the entirety of this Section 18.2 (Dispute Resolution; Binding Arbitration) shall be null and void, and the parties agree that the exclusive jurisdiction and venue described in Section 18.1 shall govern any action arising out of or related to these Terms.
Jury Trial Waiver: YOU AND Crestum AG HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Crestum AG are instead electing that all Disputes shall be resolved by arbitration under this Arbitration Agreement, except as specified above. An arbitrator can award on an individual basis the same damages and relief as a court and must follow these Terms as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.
18.4. Opt-Out of Arbitration Agreement
You have the right to opt out of this Arbitration Agreement. If you do so, neither you nor Crestum AG can force the other to arbitrate. To opt out, you must notify Crestum AG in writing within thirty (30) days of the date that you first become subject to this Arbitration Agreement (i.e., the date you accept these Terms). Your written notice must be sent to Crestum AG, Attn: Legal Department - Arbitration Opt-Out, [Your Company Address], and include: (1) your full name, (2) your email address registered with your Account, and (3) a clear statement that you wish to opt out of this Arbitration Agreement. If you opt out of this Arbitration Agreement, all other parts of these Terms will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you may currently have, or may enter in the future, with us.
18.5. Time Limitation on Claims
You agree that any claim or cause of action arising out of or related to your use of the Services or these Terms must be filed within one (1) year after such claim or cause of action arose, or else that claim or cause of action will be permanently barred, unless a longer period is mandated by applicable law.
19. Miscellaneous Provisions & Contact Information
19.1. Entire Agreement
These Terms, together with our Privacy Policy, Fee Schedule, API Agreement (if applicable), Cookie Policy and any other documents expressly incorporated by reference herein, constitute the entire and exclusive understanding and agreement between you and Crestum AG regarding your use of and access to the Services, and supersede and replace any and all prior oral or written understandings or agreements between Crestum AG and you regarding the Services.
19.2. Severability
If any provision of these Terms (or part of a provision) is found by an arbitrator or a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision (or part thereof) will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. If such invalidity, illegality, or unenforceability substantially affects the economic terms of this Agreement, the parties shall negotiate in good faith to modify these Terms to preserve their original intent.
19.3. No Waiver
The failure of Crestum AG to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision or any other right or provision. No waiver of any term of these Terms will be effective unless it is in writing and signed by an authorized representative of Crestum AG. Any waiver of any breach or default of these Terms will not constitute a waiver of any subsequent breach or default.
19.4. Assignment
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent. Any attempted transfer or assignment in violation hereof shall be null and void. We reserve the right to assign our rights and obligations under these Terms (in whole or in part) to any affiliate, or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, or to any other successor, without your consent and without notice to you. These Terms will be binding upon and inure to the benefit of the parties, their successors, and permitted assigns.
19.5. Force Majeure
Crestum AG shall not be liable for any delays, failure in performance, or interruption of service which result directly or indirectly from any Force Majeure Event (as defined in Section 2). We will use reasonable efforts to notify you of the occurrence of such an event and to resume performance as soon as reasonably practicable.
19.6. Headings and Interpretation
The section titles and headings in these Terms are for convenience only and have no legal or contractual effect. The word "including" or "includes" means "including but not limited to" or "includes but is not limited to." References to sections or articles are to sections or articles of these Terms unless otherwise specified.
19.7. Controlling Language
These Terms may be translated into other languages for your convenience. However, the English language version of these Terms shall be the definitive and controlling version. In the event of any conflict or discrepancy between the English version and any translated version, the English version shall prevail.
19.8. Electronic Communications, Transactions, and Signatures
Visiting the Platform, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Platform, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE PLATFORM. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances, or other laws in any jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of credits by any means other than electronic means.
19.9. No Third-Party Beneficiaries
Except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms. Nothing in these Terms is intended to, nor shall it confer, any rights on a third party.
19.10. Relationship of the Parties
You and Crestum AG are independent contractors, and nothing in these Terms shall be construed as creating a partnership, joint venture, agency, employment, or fiduciary relationship between you and us. You have no authority to bind Crestum AG in any way.
19.11. Export Controls
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce and trade and economic sanctions maintained by the Treasury Department’s Office of Foreign Assets Control. You represent and warrant that you are not (a) located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (b) listed on any U.S. Government list of prohibited or restricted parties.
